1. Acceptance of These Terms
These Terms and Conditions (“Terms”) govern your use of https://omnipronetwork.com and your interactions with Omni Pro Network. By accessing or using the website, submitting information, booking an appointment, or using a website feature, you agree to these Terms. If you do not agree, do not use the website.
Omni Pro Network (“Omni Pro Network,” “we,” “us,” or “our”) operates this website and related business services.
2. Website Information and Services
Omni Pro Network provides information about websites, CRM systems, business automation, AI-enabled tools, lead follow-up, marketing, local visibility, consulting, and related business services. Website content is general information and is not a binding offer.
Specific services, deliverables, timelines, prices, payment terms, ownership rights, and responsibilities are governed by a separate proposal, order form, statement of work, subscription agreement, or client services agreement. If a signed written agreement conflicts with these Terms, the signed agreement controls for that engagement.
3. Eligibility and Business Use
You must be at least 18 years old and legally able to enter into an agreement to use the website. If you use the website for an organization, you represent that you have authority to act for that organization.
The website is primarily intended for business users. You are responsible for ensuring that information you submit is accurate and that your use complies with applicable laws and internal organizational policies.
4. Inquiries, Appointments, and Communications
Submitting a form or booking an appointment does not require Omni Pro Network to accept an engagement. We may decline a request, request additional information, or require a separate written agreement before work begins.
You agree that we may contact you using the contact information you provide to respond to your inquiry, administer an appointment, provide requested information, or manage an existing business relationship. Marketing text messages require a separate affirmative opt-in and are not a condition of purchase.
5. SMS Messaging Terms
Program identity and purpose. Omni Pro Network may send text messages regarding inquiries, appointments, audits, proposals, projects, account notices, customer support, service updates, and, where separately selected, marketing messages such as promotions or business resources.
Opt-in. You receive recurring text messages only after providing the applicable consent through an approved opt-in method. Consent is specific to Omni Pro Network and the message category selected. Consent to marketing texts is voluntary and is not required to purchase any service.
Opt-out. You may cancel text messages at any time by replying STOP. We may send one final message confirming the opt-out. To re-enroll, complete a new opt-in in the same manner used initially or follow another approved enrollment method.
Support. Reply HELP for assistance or contact Services@omnipronetwork.com or +1 (631) 530-4128.
Frequency and charges. Message frequency varies depending on your interactions and the services requested. Message and data rates may apply. Contact your wireless provider with questions about your text or data plan.
Delivery. Wireless carriers are not responsible for delayed or undelivered messages. Delivery is not guaranteed and may depend on network availability and device compatibility.
Privacy. Our handling of personal information, including mobile information and messaging consent, is described in our Privacy Policy. Full SMS disclosures also appear on our SMS Messaging Terms page.
6. Email Communications
You may unsubscribe from marketing emails using the link provided in the message. We may continue sending non-marketing communications that are reasonably necessary for appointments, projects, account administration, security, billing, or legal purposes.
7. Fees and Payments
Website browsing is generally available without charge. Services may require payment under a separate written agreement. Unless that agreement states otherwise, fees are due as invoiced, deposits may be non-refundable once work begins, third-party software or advertising expenses may be separate, and late or failed payments may result in paused work or access.
You are responsible for reviewing proposals and invoices before payment and for promptly reporting billing concerns. Payment processing may be handled by third-party providers subject to their own terms.
8. Client Responsibilities
Clients and prospective clients are responsible for providing accurate information, timely approvals, lawful content, required permissions, and access to systems needed for an engagement. Delays or additional work caused by incomplete information, changing instructions, unavailable access, or third-party platform issues may affect schedules and fees.
You may not provide content, data, contact lists, credentials, or instructions that you do not have the right to use. You remain responsible for legal compliance in your own business, including advertising claims, customer consent, privacy notices, intellectual property, and industry-specific rules.
9. Third-Party Platforms
Our website and services may integrate with or depend on third-party platforms, including hosting, CRM, communications, payment, advertising, analytics, scheduling, social media, and AI services. Third-party services may change, experience outages, suspend access, modify pricing, or impose separate terms. We do not control those platforms and are not responsible for their independent acts or omissions.
You may be required to create or maintain your own third-party accounts and pay related fees. Unless a written agreement states otherwise, you are responsible for complying with third-party terms and maintaining ownership and control of your business accounts.
10. Artificial Intelligence
AI-enabled features may generate recommendations, drafts, summaries, classifications, automations, or other outputs. AI outputs can be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing important outputs before relying on or publishing them, especially for legal, financial, medical, employment, safety, or regulated decisions.
We do not guarantee that any AI feature will be uninterrupted, error-free, or available indefinitely.
11. Intellectual Property
The website, branding, original text, graphics, layouts, software, and other materials provided by Omni Pro Network are protected by applicable intellectual property laws. Except for limited personal or internal business use of publicly available website content, you may not copy, modify, distribute, reverse engineer, remove notices from, or commercially exploit our materials without written permission.
Ownership of work created for a client is determined by the applicable written agreement and may depend on full payment. Third-party materials, software, templates, fonts, stock assets, and platform components remain subject to their own licenses.
12. User Submissions
You retain rights in content you submit. You grant us a limited right to host, process, reproduce, transmit, and use submitted content as reasonably necessary to respond to you, provide requested services, maintain records, secure our systems, and comply with law.
You represent that your submissions are accurate, lawful, do not infringe another person's rights, and do not contain malicious code or prohibited material.
13. Prohibited Conduct
You may not misuse the website; attempt unauthorized access; interfere with security or operation; scrape or harvest personal information; impersonate another person; transmit malware; submit unlawful, deceptive, infringing, abusive, or harmful content; use the website to violate communications or privacy laws; or assist another person in doing so.
14. No Guarantees
Business, marketing, SEO, advertising, automation, AI, and lead-generation results vary. We do not guarantee rankings, revenue, lead volume, conversion rates, cost savings, platform approval, message delivery, or uninterrupted availability. Examples, estimates, projections, demonstrations, and case studies are illustrative and are not promises of future results.
You are responsible for business decisions and for obtaining legal, tax, accounting, financial, or other professional advice when needed.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the website and public content are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.
16. Limitation of Liability
To the maximum extent permitted by law, Omni Pro Network and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or use arising from the website or public content.
For a claim arising solely from use of the public website and not governed by a separate written agreement, our total liability will not exceed the greater of one hundred U.S. dollars or the amount you paid directly to us for the website-related service giving rise to the claim during the six months before the event. A separate signed agreement may establish different limitations.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Omni Pro Network and its owners, personnel, and contractors from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the website, your submissions, your breach of these Terms, or your infringement of another person's rights.
18. Suspension and Termination
We may restrict or terminate access to the website or a feature when reasonably necessary to address security risks, unlawful activity, abuse, nonpayment under a separate agreement, violations of these Terms, or third-party platform requirements. Sections that logically should survive termination will remain effective.
19. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Unless a separate signed agreement states otherwise, disputes relating to the public website will be brought in a state or federal court with jurisdiction in Suffolk County, New York, and the parties consent to that venue, except where applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date identifies the most recent revision. Continued use of the website after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
21. Miscellaneous
If a provision is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable signed agreement, constitute the relevant agreement concerning the website and services covered by them.
